Animoca Brands subsidiary OliveX files for listing on NSX
18 June 2020: Animoca Brands Corporation Limited (“Animoca Brands” or the “Company”) wishes to inform its shareholders that the prospectus for the listing of its fitness and health technology subsidiary OliveX Holdings Limited (“OliveX”) has been lodged with the National Stock Exchange of Australia (“NSX”). OliveX proposes to raise A$2-3 million to advance its health and well-being online platform.
OliveX has determined that the global wellness industry, estimated to be worth US$4.2 trillion (source: Global Wellness Institute), presents a market opportunity that is distinct from the core business activities of Animoca Brands. Animoca Brands is committed to ensure the success of the initial public offering (“IPO”) of OliveX and will continue, where appropriate, to provide both commercial and technical support to OliveX to ensure that its strategy is achieved and that value is created for all shareholders and investors.

Background
Animoca Brands Limited, a controlled entity of Animoca Brands Corporation Limited, completed a reorganisation of the ownership structure of OliveX (HK) Limited whereby all the shareholders of OliveX (HK) Limited, an entity incorporated under the laws and regulation of Hong Kong SAR, swapped their shares in OliveX (HK) Limited for shares in OliveX Holdings Limited, an entity incorporated under the laws and regulations of the Commonwealth of Australia. As a result of the reorganisation of ownership, OliveX (HK) LImited became a wholly owned entity of OliveX Holdings Limited. Animoca Brands holds 78% of the ordinary shares on issue in OliveX Holdings Limited prior to the conversion of convertible notes and SAFE instruments into ordinary shares on issue in OliveX Holdings Limited.
